Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and Saiko Music Group Ltd, a company registered in England and Wales ("Saiko", "we", "us", "our"), governing your access to and use of the Saiko Intelligence platform ("Platform", "Service").
By creating an account, accepting an invitation, or using the Platform, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
1. The Service
1.1 Platform Description
Saiko Intelligence is a software-as-a-service (SaaS) platform that provides AI-powered TikTok campaign strategy, creator discovery, outreach management, and analytics tools for music industry professionals. The Platform is accessible at app.saikointelligence.com and through client-specific portal URLs.
1.2 Service Tiers
The Platform offers multiple service tiers, which may include:
- Evaluation Access — Limited access may be granted at our discretion for evaluation purposes, subject to usage caps. Evaluation access may be modified or discontinued at any time.
- Paid Subscription Tiers — Monthly recurring subscriptions with higher limits, additional features, and priority support. Pricing and tier details are available on the Platform.
1.3 Credits and Wallet System
Usage of certain Platform features (AI queries, sound scans, creator enrichment) is metered through a credits/wallet system. Your subscription tier includes a base allocation of credits. Additional credits may be purchased separately. Credits are non-transferable and non-refundable unless otherwise required by law.
2. Account Registration and Access
2.1 Registration
Access to the Platform requires an account. Accounts may be created through:
- Self-signup — Registering directly on the Platform with a valid email address and password.
- Invitation — Accepting an email invitation from an existing tenant administrator. Invitations expire after 7 days.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. Passwords must meet our minimum requirements (12 characters, including uppercase, lowercase, digits, and special characters). We strongly recommend enabling two-factor authentication (2FA) and may require it for administrative accounts.
2.3 Tenant Isolation
Each client organisation operates within an isolated tenant environment. Your data, campaigns, creators, AI conversations, and configurations are logically separated from other tenants. You must not attempt to access data belonging to other tenants.
3. Subscription and Payment
3.1 Billing
Paid subscriptions are billed monthly in advance. Payment is processed securely through our payment provider (currently Stripe). You agree to provide accurate billing information and to keep it up to date.
3.2 Evaluation Access
Evaluation access is provided at our discretion and may be modified, limited, or discontinued at any time without notice. Evaluation accounts are subject to the same Terms as paid accounts and do not guarantee continued free access to the Platform.
3.3 Pricing Changes
We may adjust pricing with at least 30 days' written notice to your registered email address. Price changes will take effect at the start of your next billing cycle following the notice period.
4. Cancellation and Termination
4.1 Cancellation by Client
You may cancel your subscription at any time through the Platform or by contacting us at hello@saikointelligence.com. Upon cancellation:
- Your access continues until the end of your current billing period.
- No refunds are provided for partial billing periods, except where required by law.
4.2 Account Deletion
You may request deletion of your account and all associated data. Upon receiving a deletion request:
- 30-day grace period — Your account will be deactivated and scheduled for deletion. During this period, you may contact us to reverse the deletion.
- Immediate deletion — If you explicitly request immediate deletion, we will process it without the grace period.
- Backup purge — Data will be purged from all backups within 90 days of the deletion date.
4.3 Termination by Saiko
We may suspend or terminate your account if you breach these Terms, our Acceptable Use Policy, or if required by law. We will provide reasonable notice where practicable, except in cases of serious misuse.
5. Data Ownership and Intellectual Property
5.1 Your Data
You own your data. All campaign briefs, creator lists, outreach messages, AI conversation histories, and other content you create or upload to the Platform ("Client Data") remains your property. We do not claim ownership of your Client Data.
5.2 Licence to Operate
By using the Platform, you grant us a limited, non-exclusive licence to process your Client Data solely for the purpose of providing and improving the Service. This licence terminates when your account is deleted.
5.3 Platform IP
The Platform, including its code, design, AI models, algorithms, documentation, and branding, is the intellectual property of Saiko Music Group Ltd. Your subscription grants a non-exclusive, non-transferable, revocable licence to use the Platform during your subscription term.
5.4 AI-Generated Content
Content generated by the AI features of the Platform (strategy recommendations, outreach message drafts, analytics insights) is provided as suggestions. You are responsible for reviewing and approving any AI-generated content before use. We do not claim ownership of AI-generated content produced for your campaigns.
6. Acceptable Use
Your use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in suspension or termination of your account.
7. Service Availability
7.1 No SLA Guarantee
While we strive for high availability and monitor our systems continuously, we do not currently offer a formal service level agreement (SLA) with guaranteed uptime percentages. The Platform is provided on an "as available" basis.
7.2 Maintenance
We may perform maintenance that temporarily affects service availability. We will endeavour to provide advance notice of planned maintenance where practicable.
7.3 Third-Party Dependencies
The Platform relies on third-party services (AI providers, data providers, hosting infrastructure). Service disruptions from these providers may affect Platform functionality. We are not liable for third-party service outages beyond our reasonable control.
8. Limitation of Liability
8.1 Service Limitations
The Platform provides tools and AI-powered suggestions to assist with campaign strategy. We do not guarantee specific results, campaign outcomes, creator engagement, or return on investment.
8.2 Liability Cap
To the maximum extent permitted by law, our total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the total amount paid by you to us in the 12 months preceding the claim.
8.3 Exclusions
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, whether arising from contract, tort, negligence, or otherwise.
8.4 Consumer Rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
9. Indemnification
You agree to indemnify and hold harmless Saiko Music Group Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any third-party rights.
10. Privacy and Data Protection
Our collection and processing of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, the terms of our Data Processing Agreement apply.
11. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via email or through the Platform. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the changes take effect.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. General
- Entire Agreement — These Terms, together with the Privacy Policy, DPA, Acceptable Use Policy, and any order forms, constitute the entire agreement between you and Saiko regarding the Service.
- Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor.
- Waiver — Failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Force Majeure — Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including natural disasters, acts of government, or internet disruptions.
